Terms governing an agreed FPB property sourcing instruction.
THE FEMI PROPERTY BUSINESS LTD, trading as The Femi Property Business™ (“FPB”, “we”, “us”), company number 17434012, registered in England and Wales, registered office 147 Long Riding, Basildon, Essex, SS14 1QT. Contract and cancellation contact: femi@thefemipropertybusiness.co.uk. General enquiries: hello@thefemipropertybusiness.co.uk.
These terms govern the property sourcing and introduction service described in the client-specific Instruction and Fee Schedule (“Schedule”). The Schedule identifies the client, Essential Criteria, preferences, agreed deliverables, pricing, response timetable and commencement arrangements. General website use or an enquiry does not itself create a sourcing instruction.
FPB provides the client with these Terms, a completed Schedule, the applicable fee, and any required cancellation information before the client is bound. The client signs or electronically accepts the identified documents and pays the agreed fee. FPB may then complete identity, compliance and onboarding checks.
The contract is concluded when FPB sends a written Acceptance Confirmation identifying the client, instruction reference, agreed documents and contract conclusion date. If FPB cannot accept the instruction after payment, FPB will return the payment in full using the original payment method unless another method is agreed. The search commencement date is the date stated in the Acceptance Confirmation and may be later than the contract conclusion date.
FPB will use reasonable care and skill to search, screen, analyse and introduce ONE Qualifying Property Opportunity unless the Schedule expressly states a different specialist scope. Essential Criteria are measurable requirements expressly marked essential. Preferences are not Essential Criteria.
An opportunity qualifies only where FPB has reasonable documented grounds that every agreed Essential Criterion is met at presentation and supplies the agreed report and disclosures. A confirmed-status criterion is not satisfied by assumption. Where the Schedule permits an opportunity subject to named outstanding checks, those checks and risks will be disclosed.
The ordinary search period is 90 calendar days from the agreed commencement date, with a progress review around day 60. An extension requires written agreement before expiry. The client does not have to accept an extension instead of a refund.
Delivery of one Qualifying Property Opportunity and the agreed deliverables completes the ordinary sourcing search instruction. A further search, negotiation service, viewing service or post-introduction service is included only where the Schedule expressly says so.
Property opportunities can be time-sensitive. The client is not obliged to purchase an opportunity introduced by FPB, but agrees to review a Qualifying Property Opportunity promptly and communicate its decision within the Initial Opportunity Response Period stated in the Schedule. Where a seller, agent, auctioneer, receiver or other source imposes a shorter genuine deadline, FPB may notify a reasonable opportunity-specific deadline.
If the client elects to proceed, the client agrees to take reasonable steps within the agreed transaction timetable, including where applicable supplying identity and compliance information, evidence of funds or finance, instructing solicitors and other professional advisers, arranging surveys or valuations, responding to enquiries and authorising offers or other agreed acquisition steps.
FPB does not guarantee that a seller, agent or other party will keep an opportunity available. If a Qualifying Property Opportunity is materially lost because the client did not act within an agreed or reasonably notified timetable, that loss does not by itself mean FPB failed to deliver the agreed sourcing service.
Nothing in this clause requires the client to proceed where due diligence, legal advice, finance, survey results, valuation evidence, title information, planning information or another material fact gives the client reasonable grounds not to proceed.
FPB agrees an exact fixed upfront sourcing fee. The Schedule states the pricing category, target purchase budget or specialist quote, total payable, VAT treatment, deliverables, fair cancellation-stage allocations and separately authorised third-party costs. Scope or price changes require prior written agreement.
Ordinary residential sourcing: 2% of the agreed target property purchase budget, with a £3,000 minimum. Complex residential assignments: 2.5%–3% of the agreed target purchase budget, with a £5,000 minimum, where the agreed brief requires materially greater analysis or delivery. Specialist assignments such as former care homes, commercial conversions, development land, portfolios, lease-option or vendor-finance negotiations use a bespoke fixed quote, generally starting around £5,000–£8,000 and not capped at £8,000.
FPB is currently not VAT registered and does not add VAT. If FPB becomes VAT registered before an instruction is concluded, the Schedule will state the correct VAT treatment and total payable. No later charge is imposed without an agreed contractual basis.
Work begins on the agreed commencement date after contract formation, payment, required compliance checks and the applicable cancellation/start arrangements.
The Refund and Consumer Cancellation Information and, where applicable, the Consumer Cancellation Notice and optional model form form part of the client information for this instruction.
If FPB does not supply one Qualifying Property Opportunity with the agreed deliverables within the ordinary 90-day search period, or within a valid written extension, the upfront sourcing fee is refunded IN FULL. No deduction is made for internal time, research, overhead or unsuccessful search work.
Where the client cancels outside any applicable statutory right, FPB will stop affected work and may retain only a lawful and fair proportionate amount for services actually supplied, assessed against the stage allocations agreed before payment. An incomplete stage is not automatically charged in full. Contractual refunds are paid within 14 calendar days after becoming due, subject to any earlier legally required deadline.
Where consumer distance or off-premises cancellation rights apply, FPB supplies the applicable notice and cancellation form before the client is bound. A clear cancellation statement is sufficient; use of the model form is optional.
FPB normally waits until the applicable cancellation period has ended before beginning performance. If the client expressly requests an earlier start and the required information and acknowledgements are recorded, a lawful proportionate charge may be due for services actually supplied before cancellation. Starting work alone does not remove a cancellation right. Full performance affects the cancellation right only where the applicable legal requirements are met.
FPB records introductions with date, identifying details, assessment and known outstanding checks. A client may identify a disputed Essential Criterion with supporting evidence. FPB will provide an initial written response within five working days; if the matter is also a complaint, the complaints timetable applies as well.
If evidence shows that an Essential Criterion failed at presentation, the opportunity does not qualify. FPB will continue the search if time remains or apply the full unsuccessful-search refund where due. A later external change does not automatically prove failed delivery.
The client will provide accurate criteria, budgets, intended use, exclusions and timely information needed for the instruction. The client remains responsible for its purchase decision and for obtaining independent legal, tax, surveying, valuation, planning, licensing, finance and other professional advice where appropriate.
FPB distinguishes checked evidence, third-party statements, estimates and assumptions. FPB does not guarantee a purchase, seller acceptance, funding, planning, licensing, rent, capital growth, yield or return.
Material conflicts, referral fees, commissions and transaction-related payments received from others are disclosed where required. Co-sourcing or another intermediary arrangement requires a separate written agreement identifying responsibilities, the contracting party, fee recipient and fee-sharing basis.
Non-public information is used for the instruction and may be shared with professional advisers, funding providers and transaction parties where reasonably necessary and lawful. Personal information is handled in accordance with FPB’s Privacy Policy.
The client must not deliberately misuse confidential introduction details to bypass FPB or an identified source in order to avoid an agreed fee or protection arrangement. No automatic post-instruction penalty, duplicate fee or additional sourcing charge applies unless it is expressly stated in the Schedule or a separate written agreement.
This clause does not oblige the client to purchase a property and does not reverse a refund that is otherwise due under these Terms.
FPB is responsible for providing the agreed service with reasonable care and skill. FPB is not responsible for losses caused solely by a seller, agent, lender, surveyor, solicitor, local authority, contractor or other independent third party, or by market movements, where FPB has not caused or contributed to the loss.
Nothing in these Terms excludes or restricts liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence. Nothing in these Terms removes statutory rights that cannot lawfully be excluded.
FPB’s Formal Complaints Procedure applies. Complaints Officer: Olufemi Oyedeji, Director. Email: femi@thefemipropertybusiness.co.uk. FPB is a member of Property Redress, membership PRS061052, currently recorded for 1 October 2026 to 30 September 2027. A complaint does not delay a refund already due.
These Terms are governed by the law of England and Wales, subject to any mandatory rights that apply to the client or transaction. If any provision is found unenforceable, the remaining provisions continue in effect so far as permitted.
Changes to the agreed instruction, Essential Criteria, scope, price, response timetable or deliverables must be recorded in writing. The agreed Terms, Schedule and applicable cancellation information form the contract for the sourcing instruction.
